IMPACT Developer & Contractor S.A. ("Impact") (ticker symbol IMP), the first real estate developer listed on the Bucharest Stock Exchange, ends 2023 with a preliminary consolidated turnover of 169.4 million RON, a net profit of 34.9 million RON and a gross margin of 39%.

In 2023, IMPACT signed sale-purchase contracts for 157 units in the GREENFIELD Baneasa, LUXURIA Residence and BOREAL Plus compounds, which, together with related parking spaces, gardens and storage rooms, generated revenues of 119.5 million RON. The results were influenced by a number of factors: residential market conditions that recorded decreases of 7% and 19%, respectively, in real estate transactions in Constanta and Bucharest, the cities where the company operated, the delay in the approval procedures for the reception of 732 new apartments in the GREENFIELD Baneasa neighborhood, which generated a lower housing stock compared to 2022,  on the most important market segment of the company.

At the end of the year, IMPACT had 377 pre-sold and reserved housing units, of which 320 for the new apartments in GREENFIELD Baneasa, to be delivered this year. In 2024 and early next year, 356 pre-sold units at the end of 2023 will generate revenues of about 206 million RON.

IMPACT Group's gross margin increased from 32% to 39% in 2023. Indebtedness held steady at 28%, while trade debt fell by 26%. At the same time, the company maintained its stable liquidity position, at 51.3 million RON.

"The low volume of mortgage loans, as a result of the major increase in interest rates, together with the postponement of the approval procedures for the reception of new apartments in GREENFIELD Baneasa, had a significant impact on the company's revenues, which are recorded only after receiving the amounts from the sale-purchase contracts. After a year dominated by high inflation and unpredictability, 2024 comes with good prospects: the delivery of 732 apartments in GREENFIELD Baneasa and the continuation of construction works at another 435 units in the neighborhood, the liquidation of the stock of units in LUXURIA Residence, for which an increased interest was maintained, as well as the planning of the GREENFIELD Copou (Iasi) and ARIA Verdi (Bucharest) projects.", stated Constantin Sebesanu, CEO IMPACT Developer & Contractor.

IMPACT owns a valuable land portfolio in Bucharest, Constanta and Iasi, of about 71 ha, with development potential for 5 more new sustainable, large-scale projects, with an estimated market value of over 7.4 billion RON. For one of these projects, GREENFIELD Copou - Iasi, a project with a market value estimated at over 870 million RON, the company obtained the construction permit in July 2023. At the same time, IMPACT has made important steps in the authorization process for ARIA Verdi, a project with a market value of over 1.7 billion RON, located in the Barbu Vacarescu area of Bucharest, obtaining the urbanism certificate.

As of December 31, 2023, IMPACT had construction permits for 2,693 units in Bucharest, Iasi and Constanta, with an estimated market value of 1.9 billion RON. Of these, 982 homes are in various stages of construction.

By the end of 2023, IMPACT leased over 90% of GREENFIELD Plaza, the first shopping center in its portfolio, BREEAM Excellent certified. With a market value of over 124 million RON, the mixed-use project has an area of 14,001 sqm, covering retail, wellness and office functions. A significant part of the energy needs for Wellness Club by Greenfield, the IMPACT office building and the buildings in the fourth phase of development of GREENFIELD Baneasa, including public lighting, will be provided by the 7,935 sqm photovoltaic park completed last year.

IMPACT exceeds one million euro in the first 72 hours of the ongoing bond offer

IMPACT Developer & Contractor (ticker symbol IMP) raised over one million euro in the first 72 hours of issuing the bond offer. The public offer for sale of bonds, intermediated by TradeVille, is ongoing until February 23, 2024.

Over the 28 years of uninterrupted listing on BVB, IMPACT has used various market capitalization instruments, through which it has raised over EUR 130 million.

At the end of last year, analysts at Raiffeisen Bank initiated hedging for IMPACT shares with a buy recommendation and a target price of RON 0.3, which implies a potential return of 25% compared to the current trading price of the shares. The positive position is supported by a favourable outlook for interest rates, a robust pipeline of projects, an attractive commercial real estate portfolio and a more stable real estate climate.

IMPACT received for the fourth consecutive year the maximum score for communication with investors

Bucharest, 19th of January 2024: IMPACT Developer & Contractor has obtained the Best Managed Companies Romania certification, a program present for 30 years globally, developed by Deloitte in partnership with EBRD - European Bank for Reconstruction and Development, BVB - Bucharest Stock Exchange and BT - Banca Transilvania.

GREENFIELD Plaza shopping center receives BREEAM Excellent certification

The GREENFIELD Plaza shopping center, developed by IMPACT Developer & Contractor in the GREENFIELD Baneasa neighborhood, obtained the BREEAM Excellent certification following the evaluation carried out by BuildGreen. Thus, the building covering retail and wellness functions meets the quality and sustainability standards required by this type of certification from the design phase in the categories management, health and well-being, energy, transport, water, materials used, waste, land use and ecology, pollution, innovation.

In the construction of the shopping center, developer IMPACT and general contractor RCTI used responsible practices, sustainable materials, as well as sustainable and intelligent systems and equipment, with the role of minimizing environmental impact, protecting the health and well-being of tenants and visitors, and ensuring thermal and visual comfort.

GREENFIELD Plaza has a high energy performance, due to the use of renewable energy, which translates into reduced pollution, protection of natural resources and reduced maintenance costs. The roof of the wellness club is equipped with solar panels, which cover about 70% of the energy needed to heat domestic water and swimming pools, while 25% of the electricity needed for the commercial gallery is provided by photovoltaic panels.

IMPACT maintains gross margin of 31% and reports revenues of 21.5 million euro in the first nine months of the year

  • In the first nine months of the year, IMPACT achieved revenues of 21.5 million euro, gross profit of 6.6 million euro, with a gross margin of 31%.
  • The company sold 110 units in the first three quarters of the year, which generated revenues of 16.8 million euro, and pre-sold another 32 units, with a value of 5.7 million euro.

Bucharest, 15th of November 2023: IMPACT Developer & Contractor S.A. ("Impact") (ticker symbol IMP), the first real estate developer listed on the Bucharest Stock Exchange, reports revenues of 21.5 million euro as of September 30, 2023 and a gross profit of 6.6 million euro, with a constant gross margin of 31%.

As a result of vertical integration, the group's revenues come from the activity of IMPACT, SPATZIOO and RCTI. Thus, 16.8 million euro are generated by the sale of 110 units, and 4.7 million euro from the rental of commercial spaces in GREENFIELD Plaza (Baneasa), the management and rental of properties developed by IMPACT, as well as from construction works.

Most units sold in the first nine months of the year, respectively units for which a sale-purchase contract was signed, were registered in LUXURIA Residence (47%), followed by BOREAL Plus (31%) and GREENFIELD Baneasa (22%). The average sales prices had an upward trend in the first three quarters, compared to the same period last year, increasing by 9% in GREENFIELD Baneasa, to EUR 1,341/sqm and by 5% in LUXURIA Residence, to EUR 1,822/sqm.

In addition to the units sold, as of September 30, 2023 IMPACT has another 381 pre-sold and reserved units, with a total value of 43.2 million euro. Of these, 85% are in GREENFIELD Baneasa, 8% in BOREAL Plus, 6% in GREENFIELD Copou and 1% in LUXURIA Residence. By the end of next year, 357 units with a value of 40.4 million euro will be converted into revenues.

72% of the total 954 homes completed in the last three years are contracted as of September 30. In GREENFIELD Baneasa, IMPACT's flagship project, the contracting rate of completed units is 98%. In LUXURIA Residence, the first residential complex in the country certified BREEAM Excellent, 83% of the apartments are contracted, while in BOREAL Plus, the residential complex in Constanta put into use in May, the dwellings are contracted in proportion of 32%.

"This year, LUXURIA Residence had the best performance of all our projects, being a mature project, on a market segment characterized by stability, resilient to external factors such as rising interest rates on mortgage loans or tax and legislative changes. As a result, sales in this compound showed a positive evolution from quarter to quarter, with sales in the third quarter increasing by 17% compared to the previous quarter. In addition to investors' appetite for this project, due to attractive investment returns and high potential for value appreciation over time, this year we noticed an increasing interest from end-users, especially for 4-room apartments, which represent 17% of total project sales in the first nine months. For one of these projects, GREENFIELD Copou - Iasi, a project with a market value estimated at over 175 million euro, the company obtained the building permit in July. At the same time, IMPACT has made important steps in the authorization process for ARIA Verdi, a project with a market value of over EUR 350 million, located in the Barbu Vacarescu area of Bucharest, obtaining the urbanism certificate.

As of September 30, 2023, IMPACT has building permits for 2,693 units in Bucharest, Iasi and Constanta, with an estimated market value of 390 million euro. Of these, 982 dwellings are in various stages of construction, while for another 1,711 dwellings construction is to be started.

In the first three quarters of the year, the EBITDA margin increased to 65%, both due to revaluation gains recorded as of September 30, 2023 and due to optimization of expenses. At the same time, IMPACT maintained a constant liquidity position, with 9.7 million euro in cash and cash equivalents and debt to equity at 28%.

IMPACT completes a photovoltaic park in GREENFIELD Baneasa neighborhood

IMPACT Developer & Contractor, the first real estate developer listed on the Bucharest Stock Exchange, completes a photovoltaic park in the GREENFIELD Baneasa neighborhood in the north of Bucharest, an investment of over 2,750,000 euro. The new park consists of 1,297 panels and has a total capacity of 700 kWp.

The photovoltaic park covers an area of 7,935 sqm in GREENFIELD Baneasa and will provide 80% of the energy needed for the Wellness Club by Greenfield, 90% of the energy needed for the IMPACT office building and 30% of the energy needed for the buildings in the fourth phase of development of the neighborhood, including public lighting.

The photovoltaic park is to be connected to the grid by the end of the year and will annually produce about 785 MWh of renewable energy for the wellness club, the IMPACT office building and the apartments in the fourth phase of development of the neighborhood.

75% yield in the last 5 years for owners in GREENFIELD Baneasa, the neighborhood developed by IMPACT

The investment in apartments in the GREENFIELD Baneasa neighborhood generated for owners a total gross yield of 75% in the last 5 years, exceeding three of the most important international stock indices: Dow Jones, Nasdaq and S&P 500, according to an analysis by IMPACT Developer & Contractor.

The analysis shows that the average gross annual yield obtained by an owner during the analyzed period (2018 -2022) for apartments in GREENFIELD Baneasa is 35%, while the Nasdaq and Dow Jones stock indices have an average gross annual yield of 27% and the S&P 500 of 31%.

In terms of net yeld of residential properties, Romania has an advantage compared to Central and Eastern European (CEE) countries, having one of the lowest property tax levels in the region. Thus, in the last five years, owners' investments in GREENFIELD Baneasa apartments generated a net yield of 56%, above the ones generated by Bucharest (52%), Warsaw (51%), Budapest (43%), Vienna (24%), Madrid (22%) or Paris (10%).

”There are a number of factors that put the Romanian residential market on the map of specialized investors, including still low house prices, low property taxes and demand for rent. All these generate attractive yields for home buyers, which is why in recent years, we have seen an increase in demand from specialized investors for the purchase of apartment packages for rent. Another long-term investment is the purchase of properties for habitation and resale after 5-10 years. According to the calculations of the developer IMPACT, all types of apartments in GREENFIELD Baneasa have doubled their value in 10 years, turning them into a profitable investment for buyers.

GREENFIELD Baneasa is a large residential project with over 7,000 homes and over 17,000 inhabitants upon completion in 2028, located in Sector 1 of the Capital, built sustainably for a better urban future. The project is in the fourth phase of development out of the six planned. The newest shopping center inaugurated in Bucharest, GREENFIELD Plaza, reaches an occupancy rate of 89%

The GREENFIELD Plaza shopping center, developed by IMPACT Developer & Contractor in the GREENFIELD Baneasa neighborhood, reached an occupancy rate of 89%. With a market value of over 25 million euro, the center has an area of 14,001 sqm, covering retail, wellness and office functions.

The main tenants of the newest shopping center in the capital are Mega Image supermarket chain, Help Net pharmacy, and Spatzioo company.

The shopping gallery contains supermarket, pharmacy, beauty salon, cafes, restaurants and laundry for clothes. Wellness Club by Greenfield hosts extensive sports and spa areas for adults and children: semi-olympic indoor pool, children's pool, outdoor pool, gym, group classes (cycling, pilates, yoga, zumba, stretching, children's classes, dances, martial arts), squash court, relaxation area with sauna and emotional showers, massage rooms. In addition, GREENFIELD Plaza includes a car wash and an office building. The 1,228 sqm of office are fully occupied by IMPACT, on the ground floor of the two-storey building being the GREENFIELD Baneasa sales office.

The shopping center developed by IMPACT belongs to the category of green buildings, with a low environmental impact, being built to BREEAM Excellent sustainability standards, in line with the company's ESG policy. An important part of the energy used to power commercial and wellness spaces comes from renewable sources. Thus, the roof of the wellness club is equipped with solar panels, which cover about 70% of the energy needed for heating domestic water and swimming pools, while 25% of the electricity needed for shopping galleries is provided by photovoltaic panels.

IMPACT obtains the building permit for a new access road to the GREENFIELD Băneasa residential compound in Bucharest

IMPACT Developer & Contractor, the first real estate developer listed on BVB, with 32 years of experience in developing large-scale sustainable projects, obtains the building permit for a new access road to the GREENFIELD Băneasa residential compound. With an estimated investment value of over 900,000 euro, the new road will connect Pădurea Pustnicu Road, a public road that delimits the residential complex to the south and Bulevardul Platanilor, an interior road.

The Sector 1 Municipal Hall of Bucharest issued the building permit for this new artery, which will have an area of 3,000 sqm, sidewalks and two lanes in each direction, separated by a median green space. Called the Prelungirea Bulevardul Platanilor, the road will facilitate the access of residents in the third phase of development, the Platanilor neighborhood and will streamline traffic in the neighborhood. The construction of the new road will be carried out by RCTI Company, part of the IMPACT group.

The initiative to build the new road complements the efforts of developer IMPACT Developer & Contractor to obtain the building permit for three other access roads in the GREENFIELD Băneasa neighborhood.

”We are constantly looking for solutions to increase the quality of life for the inhabitants of the communities we develop. In addition to the entire completed utility infrastructure, we also built 15 km of roads in the GREENFIELD Băneasa neighborhood. Although it does not fall within our attributions and obligations, we have come to support the administration in expanding the infrastructure outside the development with three new access roads in the neighborhood, for which we have been in the authorization process for a long time. For over a year we have been waiting for the Bucharest City Hall to approve the PUZ for 105-117 Teișani Alley, Sector 1, the road that connects with the Bucharest Ring Road under the hobanat bridge. In parallel, we are waiting for the Government Decision for the reopening of the Vadul Moldovei road, according to the decision of the General Council of Bucharest on July 28, 2023 and the IMPACT donation of a 6,000 sqm forest area, double than the road in Sector 1. Vadul Moldovei offers the inhabitants of GREENFIELD Băneasa the only direct access to Sector 1, to which they belong and where they pay taxes. We also support the extension of Teișani Alley to connect with Voluntari, as well as the creation of access and exit lanes in DN1 through CNAIR support, a solution for which we have also submitted a land donation to them. We are always close to the communities we develop and at authorities disposal for finding the best solutions.”, stated Constantin Sebeșanu, CEO IMPACT Developer & Contractor. 

IMPACT Developer & Contractor continues to allocate considerable resources to find alternative solutions and facilitate access to the neighborhood, although these municipal works are the responsibility of local administrations. Bucharest City Hall issued the Urbanism Certificate for continuing the approval procedure in order to obtain the building permit for the elaboration of the PUZ for the the project "Arrangement of the intersection of Teișani Alley and DN1 leg and of the intersection of DN1 junction arm with Bucharest Ring Road".

At the same time, recently, in order to streamline the traffic on Teișani Alley, the developer submitted an address to CNAIR through which he sent them for analysis a plan for a new traffic regulation in the area of the DN1 junction arm intersection with Teișani Alley and with the Ring Road near Otopeni Bridge. Also, two other access ways are under analysis and documentation, one of them being the extension of the Teișani Alley road to Pipera Boulevard.

GREENFIELD Băneasa is a large residential project with over 7,000 homes and over 17,000 inhabitants upon completion in 2028, located in Sector 1 of the Capital, built sustainably for a better urban future. The project is in the fourth phase of development out of the six planned. Since 2007, the starting year of the works for the first phase of development, until now, GREENFIELD Băneasa has experienced a sustainable development, bringing to the community new infrastructure and new facilities: two private parks, numerous green spaces, playgrounds, convenience stores, Avenor campus with kindergarten, school and high school, GREENFIELD Plaza shopping center and Wellness Club by Greenfield sports center, public transport. As the project progresses and approaches maturity, other new facilities are added such as public school and kindergarten, church, medical clinic, nursery, infrastructure and new access roads.

IMPACT reports 58.7 million euro pre-sale and revenues in the first semester of the year

  • As at 30 June 2023, IMPACT had a balance of 403 pre-sale and reservation contracts, in total value of EUR 46.2 million. Those contracts will translate into sales, as apartments will be finalized in the following periods.  
  • In the first semester of 2023 IMPACT obtained revenues of EUR 12.5 million, the gross profit being of EUR 3.7 million, with a gross margin of 31%. 
  • The market value of the dwellings inventory as at 30 June 2023 was approximately EUR 155 million and the total value of assets adjusted in accordance with EPRA standards was EUR 364 million.
  • IMPACT maintained a good liquidity position, having EUR 10.6 million in cash and cash equivalent and a debt to equity of 29%. 
  • As at 30 June 2023, IMPACT had 1,631 units under construction (with building permit) of which 982 in different stages of construction. 
  • At the end of the first semester of 2023, out of the total of 954 finalized dwellings, 70% were contracted. In LUXURIA EXPOZIȚIEI the contracting rate was 80%, while in GREENFIELD BĂNEASA it was 98%. 
  • Sales for Phase 1 of BOREAL PLUS with 209 dwellings have started in May 2023.  
  • Inaugurated in December 2022, the community center GREENFIELD PLAZA located within the residential complex GREENFIELD BĂNEASA with a market value of over EUR 25 million, registered an occupancy rate of 89%. 
  • The urban certificate for the project ARIA VERDI - Bucharest was obtained in April 2023, with a market value of more than EUR 350 million.   

 

IMPACT Developer & Contractor S.A. ("Impact") (stock symbol IMP), the first real estate developer established in Romania and also the first real estate company listed on the Bucharest Stock Exchange, reports EUR 58.7 million pre-sales and revenues as of June 30, 2023. At the end of the first semester, the company contracted 70% of the completed housing stock, which cumulates 954 dwellings, with a market value of about EUR 155 million.

As at 30 June 2023, IMPACT had a balance of 403 pre-sale and reservation contracts in GREENFIELD Băneasa, LUXURIA Residence, GREENFIELD Copou and Boreal Plus, in total value of EUR 46.2 million. Those contracts will translate into sales, as apartments will be finalized in the following periods. In GREENFIELD Băneasa, IMPACT’s iconic project, the contracting rate was 98%, and in LUXURIA Residence, the first residential compound in the country with BREEAM Excellent certification, 80% of the units were contracted.

IMPACT owns a valuable land portfolio in Bucharest, Constanta and Iasi, of about 71 ha, with development potential for 5 more new sustainable large-scale projects, with a market value estimated at over EUR 1.5 billion. In April, the company obtained the urbanism certificate for the ARIA VERDI project in Barbu Vacarescu, a project with a market value of over EUR 350 million.

Also in the first semester, the company started the construction of a new phase in GREENFIELD Băneasa, with 250 apartments, reaching a total of 982 dwellings in different stages of construction. Another 649 dwellings are to be built in 2024.

„We leave behind one of the most difficult semesters for both the industry and our company, with challenges generated by the macroeconomic situation to which were added the major increase in interest rates that affected the accessibility of mortgage loans, the impact of legislative changes regarding the VAT threshold for the purchase of housing, as well as measures regarding wages in the construction sector. Specifically for our company, a massive impact was also had by the temporary closure of the Vadul Moldovei road connecting the GREENFIELD Baneasa neighborhood to Sector 1, the legislative procedures necessary to solve this situation being initiated by the administration. Despite these challenges, we managed to maintain adequate liquidity and to continue at a sustained pace sales and pre-sales of the housing stock worth over EUR 155 million. In the next period, we intend to launch two large-scale sustainable projects: ARIA VERDI in Barbu Vacarescu Blvd., Bucharest – which will include over 850 premium homes, commercial galleries, kindergarten, green spaces and community services, with an estimated market value of over EUR 350 million, as well as GREENFIELD Copou in Iasi – one of the largest sustainable residential complounds in Moldova, which will include 1,062 apartments, community center with kindergarten, shopping galleries, gym & wellness center, restaurant, over 15,000 sqm of green spaces, bicycle lanes and charging stations for electric vehicles – a project with an estimated market value of EUR 175 million.

The replacement of the obsolete housing stock in Romania, which has largely exceeded its life cycle, must be a priority of both the central and local administrations, in order to contribute to raising the standard of living, as well as the level of safety and well-being of the population. GREENFIELD Plaza, the shopping center within the GREENFIELD Băneasa neighborhood, reached an occupancy rate of 89% as of June 30, 2023. The center is dedicated to the GREENFIELD community and includes the Wellness Club (fitness room, indoor and outdoor pools, saunas, massage, squash, group classes and classes for children), restaurants, supermarket, cafes, pharmacy, dry cleaning, beauty salon and car wash. GREENFIELD Plaza has a market value of over EUR 25 million.

Impact obtains the construction authorization for the GREENFIELD Copou residential project in Iasi

The GREENFIELD Copou residential complex will be located in a unique area of Iasi, with a strong cultural charge, Copou Hill, with panoramic views over the botanical garden and the city. Developed on an area of 50,263 square meters, the project will include 1,062 apartments located in 26 buildings having a low height regime, with a maximum of 5 floors and two basements, 1,083 underground and aboveground parking spaces, more than 15,000 square meters of parks and green spaces, kindergarten, after-school, 3,000 square meters of commercial spaces and services, a wellness center with fitness room, swimming pool and spa.

The GREENFIELD Copou project will renew the existing housing stock in Iasi and will set new quality standards for residential developments in the region, thus contributing to the development of an ecosystem with an important local economic impact.

IMPACT Developer & Contractor completed the first 209 apartments in Boreal Plus

Bucharest, 07/03/2023: IMPACT Developer & Contractor, the first real estate developer established in Romania and also the first real estate company listed on the Bucharest Stock Exchange (stock symbol IMP) has completed the first 209 apartments composing Phase I of the Boreal Plus residential compound in Constanta.

The 209 apartments are located in three blocks with P+8E and P+11E height regime and will be handed over to the new owners starting March. At the same time, the developer also completed a 6-level parking building (S+P+4E) that includes 290 parking spaces. The building is equipped with electric car charging stations, two high-capacity elevators, and individual underground storage boxes . Boreal Plus thus becomes the first residential compound in Constanta with a multi-storey parking building, available for purchase by the residents.

The second development phase of the Boreal Plus compound in the north of Constanta will include 132 apartments, the entire project totaling 673 units with an estimated market value of over 84 million euro. The entire project also includes the construction of a private kindergarten, a park with playgrounds dedicated exclusively to residents, but also several commercial spaces.

IMPACT develops sustainable large-scale residential compounds, getting involved in numerous social responsibility projects, for the benefit of the community. IMPACT received the maximum score for communication with investors, for the third consecutive year

Impact Developer & Contractor received the maximum score of 10 points for the communication with the investors. This is the third year that IMPACT receives the maximum score. The evaluation takes place according to the VEKTOR methodology for the regulated market, which analyzes 12 criteria such as the transparency, accessibility and speed of information provided to investors, in the previous year, and is carried out by ARIR - the Romanian Investor Relations Association.

"We once again scored 10 points out of 10 for communication with the market, according to the VEKTOR by ARIR indicator, which confirms our openness and speed of response, the transparency and honesty that we present with everything we do. IMPACT Developer & Contractor sued the authorities for putting into lawfullness the public road Vadul Moldovei

IMPACT Developer & Contractor, the first real estate developer established in Romania and also the first real estate company listed on BVB, sued the Bucharest City Hall, the District 1 City Hall and the National Directorate of Forests - Romsilva, in order to determine these instituitions to respect their legal obligations assumed in the decisions of Bucharest General Council, District 1 City Hall Council and those mentioned in the acceptance document signed with IMPACT and to definitively grant public access between Privighetorilor Alley and Padurea Pustnicu road.

The decision to sue the above mentioned institutions was taken as a result of the authorities’ delay in implementing the procedure for the definitive reopening of the Vadul Moldovei road for public access, in accordance with the assumed legal obligations, and also considering the unfounded statements of some representatives of these institutions who had the task to solve, not hinder, this process.

„Considering the closure of a section of Vadul Moldovei road which served as the only access road to District 1 for the residents of the GREENFIELD Băneasa, as well as the latest public statements of the local authorities refusing to implement their own decisions, IMPACT has no other legal choice than to sue them. We do this with regret, as we hoped for a much better collaboration with the authorities, for the benefit of these more than 6,500 residents of District 1.”, stated Constantin Sebesanu, CEO IMPACT Developer & Contractor.

The information circulated in the public space according to which IMPACT had the obligation to create the access ways to the compound through signed and publicly assumed documents, is false. However, IMPACT has shown its willingness to support the authorities in this regard, proposing the construction of additional access solutions by its own investment. Although IMPACT started the process in 2017, the approval procedures have not yet been completed. IMPACT has demonstrated that it has the ability to carry out such infrastructure projects, as evidenced by the more than 8 km of internal roads in the GREENFIELD Băneasa compound built so far.

Moreover, the multiple public statements of the representatives of the mentioned authorities intentionally transfer responsibility for this situation to IMPACT. We emphasize that in order to support and speed up the definitive solution to the situation, IMPACT donated, six years ago, three plots of land with a total area of 6,000 sqm, located in the suburbs of District 1 of the Municipality of Bucharest, to the City Hall of the Municipality of Bucharest, with the aim of carrying out the formalities for transfering the road from the public domain of the Romanian State to the public domain of the Municipality of Bucharest. This was an essential condition in resolving the situation and should have facilitated and accelerated the whole process, the rest being formalities between the state authorities.

The obligations assumed unequivocally by the authorities clearly emerge from decisions no. 218/08.06.2017 and 608/19.12.2017 of the General Council of the Municipality of Bucharest, from decisions no. 236/31.07.2017, 278/01.09.2017, 345/31.10.2017, 1/31.01.2018 of the Local Council of District 1, as well as from the document of acceptance of the donation made by IMPACT.

"We have taken note of the full content of the Notice no. 11133/C.M.R./18.05.2018 issued by the National Directorate of Forests - Romsilva, which makes clear that all the premises are met to carry out the task imposed on us by the donor IMPACT DEVELOPER & CONTRACTOR S.A. through the Additional Act no. 1, act authenticated under no. 1696/25.10.2017. At the same time, by this act, we oblige ourselves to compensate the National Directorate of Forests - Romsilva, the lands that are the object of this act, according to art. 37 of the Forestry Code of Romania, in order to open public access between Privighetorilor Alley and Padurea Pustnicu road, (...)." it is mentioned in point 5 of the Act of Donation Acceptance, signed on 13.06.2018 by the General Mayor of the Municipality of Bucharest.

IMPACT DEVELOPER & CONTRACTOR’S REACTION REGARDING THE CAR TRAFFIC RESTRICTION ON VADUL MOLDOVEI STREET, DISTRICT 1, BUCHAREST

Considering the recent car traffic restriction on the road located in Vadul Moldovei Street, District 1, Bucharest, by closing it with a barrier, as well as the procrastination by the Bucharest City Hall and the District 1 City Hall of the necessary procedures for its transfer from the public domain of the Romanian State, in the public domain of the Municipality of Bucharest, managed by Romsilva,  IMPACT DEVELOPER & CONTRACTOR SA makes the following statements:

Over time, being aware of the disadvantages and the impact of closing public access to the Road, the Municipality of Bucharest and Romsilva, together with other authorities such as the Ministry of the Environment and the District 1 of the Municipality of Bucharest have tried to identify solutions to unblock this situation.

Thus, between 2017 - 2018, a series of decisions were taken by the General Council of the Municipality of Bucharest and also by the Local Council of the District 1 City Hall, with the purpose of unblocking the situation regarding the Road, meetings were held between the representatives of the authorities involved, permits were issued by Romsilva's board of directors for the transfer of forest roads and correlative lands from the public domain of the Romanian State and from Romsilva's administration into the public domain of the Municipality of Bucharest and also Romsilva and District 1 City Hall concluded a contract of use, having as object the public use with vehicles of two forest roads.

Further more, in support of this initiative, IMPACT donated three plots of land with a total area of 6,000 sq m and a value of 800,000 euro (VAT excluded), located in District 1 with the purpose of carrying out the formalities for the transfer of the Road from the public domain of the Romanian State – in the administration of Romsilva, in the public domain of the Municipality of Bucharest.

The General Council of the Municipality of Bucharest accepted the donation with obligations and approved the conclusion of the donation contract subject to obtaining Romsilva's consent.

On May 18, 2018, Romsilva issued the permit for the acceptance of the donation.

Bucharest City Hall accepted the offer on June 13, 2018.

By accepting the donation, the Municipality of Bucharest obliged itself to give Romsilva the lands received from IMPACT as compensation, in order to open public access to the Road, between Privighetorilor Avenue and Padurea Pustnicu Road.

Next, on September 20, 2019, Romsilva issued the notice for the definitive removal of the 3,009 sqm land from the forest fund under the public ownership of the Romanian State for the construction of the access road - the beneficiary being the Municipality of Bucharest, as well as for the introduction into the forestry circuit, in equivalent compensation, of the donated lands.

Despite the above mentioned facts, the authorities involved in this process, without any legal justification, stopped carrying out the necessary formalities to allow public access to the Road, respectively to complete the necessary procedures for the transfer of the Road from the public domain of the Romanian State (under the administration of Romsilva) into the public domain of the Municipality of Bucharest.

More specifically, the Municipality of Bucharest has not yet fulfilled its obligation to perform the task as assumed in the donation contract.

During the year 2022, IMPACT notified all the institutions involved in order to determine the Municipality of Bucharest through the General Mayor to complete these steps. The current situation is the result of the passivity of the General Mayor who refuses to complete the steps described above.

At this moment, the General Council of the Municipality of Bucharest must request the Romanian Government to issue a decision on the basis of which the transfer free of the Road from the public domain of the Romanian State, under the administration of Romsilva, to the public domain of the Municipality of Bucharest, under the administration of the General Council of the Municipality of Bucharest, and to pay the applicable fees, for the permanent removal of the land from the national forest fund.

Otherwise, IMPACT will have to initiate court actions in order to obtain the right of access to this road, for the benefit of the over 6,500 residents in the surrounding area.

Under these conditions, the only authorities able to restore a legal situation will be the courts. Although we cannot guarantee the result of our actions because the courts are sovereign in judging, we are confident that we will win the case.

Moreover, in recent years, IMPACT has taken all the necessary steps to build three other access roads to the Greenfield Baneasa compound. For this purpose, our company purchased land, invested in technical projects, drew up and submitted documentation, all three projects have been waiting for the approval of the authorities for four years, in each of the cases below there have been delays in their response.

The three projects are in various approval stages, as follows:

  • The project in the most advanced stage refers to the construction of an access road connecting the northern part of Teișani Avenue and the Bucharest Ring Road through an intersection leg positioned under the drawbridge on the Bucharest Ring Road. In order to build this access road, IMPACT purchased a plot of land with an area of 4,150 sqm and submitted in January 2022 all the necessary documentation, including all the required approvals, to the Bucharest City Hall in order to obtain the approval of the Chief Architect. After receiving this last opinion, the project will receive final approval within the General Council of the Municipality of Bucharest.

 

  • The second project refers to the creation of an access road through Teișani Avenue in the northern area, respectively the around km 1+970 – km 13+987 milestone, which will be located in the area of the Greenfield Plaza shopping center, more precisely near kilometer 14 of the Bucharest Ring Road. In order to start the construction, IMPACT still needs to obtain the approval of the Network Coordination Commission of the Bucharest City Hall, where it has submitted the necessary documentation since October 2020. After obtaining it, IMPACT will submit all the documentation to the Bucharesct City Hall in order to obtain the approval of the Chief Architect and after that the approval of the General Council of the Municipality of Bucharest.

 

  • The third project aimed by IMPACT refers to the development of the intersections between Teișani Avenue and the National Road 1 intersection leg, as well as between the National Road 1 intersection leg and the Bucharest Ring Road. This traffic solution would not only improve the access of the residents of the Greenfield Băneasa neighborhood, but, according to the studies carried out, it would streamline all the traffic in the Otopeni Bridge area on the National Road 1, an area where at present there are frequent traffic jams significant in length and duration. For the realization of this project, IMPACT purchased a plot of land with an area of 1,000 sqm, currently located in the forest fund. As early as December 2020, IMPACT notified CNAIR about the traffic solution it wants to make available, CNAIR being the only institution that can request the removal of the land made available by IMPACT from the forest fund.

IMPACT Developer & Contractor establishes its own architecture and design firm

IMPACT Developer & Contractor (stock symbol IMP), the first real estate developer in Romania and also the first real estate company listed on the Bucharest Stock Exchange, continues the vertical integration process and establishes its own architecture and design firm - Impact Alliance Architecture (IAA).

The growth strategy of the IMPACT group is based on three pylons: sustainability, innovation and vertical integration, national expansion and portfolio diversification. The vertical integration process, started in the first part of this year, when IMPACT took over the majority shareholding of the constructor RCTI Company, continues with the acquisition of other specialized services, complementary to the real estate development activity.

The establishment of Impact Alliance Architecture comes as a result of the need to constantly adapt to the demands of a competitive, changing market. IMPACT Developer & Contractor doubles its net profit and registers a 43% increase in turnover in the first 9 months of the year

  • The Group’s net profit increased from RON 7.5 million to RON 15 million within the first 9 months of the year, compared with the same period of the previous year.
  • The turnover increased with 43% during the first 9 months of the year, compared with the same period of previous year.
  • IMPACT sold 173 apartments with a total value of RON 129.4 million, a 19% increase compared with the same period of previous year.
  • As of 30 of September 2022, IMPACT have contracted 516 pre-sales of apartments, with a total value of RON 272.8 million. Those pre-sales will generate revenues in the next period.
  • The Group’s gross margin was 36%.
  • The share capital of IMPACT Developer & Contractor increased to RON 591.4 million, the new number of shares being 2,365,679,951.
  • As of 30 of September 2022, the total value of assets adjusted to fair value in accordance with EPRA standards is EUR 330 million.

 

IMPACT Developer & Contractor (stock symbol IMP), the first real estate developer established in Romania and also the first real estate company listed on the Bucharest Stock Exchange, with an uninterrupted presence of over 25 years, reports in the first nine months of the year a 43% increase in turnover, an increase of 99% in net profit and a gross margin of 36%. The increases are mainly due to the optimization of processes at group level and to vertical integration, an example being the acquisition of the majority stake of the construction company RCTI.

In the first nine months, IMPACT sold 173 units, with a total value of 129.6 million lei, up by 19% compared to the same period of last year. 78% of the sold units are located in LUXURIA Residence, the greenest newly built neighborhood close to the city center, where the developer came out on the market with pre-leased apartment packages, which benefit from integrated administration services provided by the subsidiary company Spatzioo. The rest of the units are located in the GREENFIELD Băneasa compound in the north of Bucharest and in the Boreal Plus complex in Constanta, projects in which IMPACT continues to invest heavily.

IMPACT Developer & Contractor completed Panoramic Apartments in GREENFIELD Băneasa

IMPACT Developer & Contractor, the first real estate developer in Romania and also the first real estate company listed on the Bucharest Stock Exchange (stock symbol IMP), completed in GREENFIELD Băneasa a new stage of development, Panoramic Apartments, with a total market value estimated at over 16 million euro. The total number of completed dwellings in GREENFIELD Baneasa thus exceeds 2,650 units.

The newest apartments completed in GREENFIELD Băneasa together with the assigned parking lots, mostly underground, are already 97% contracted. The owners can move in from the second half of October. The 97 apartments are situated in 2 buildings with a height regime of 9 and respectively 6 floors, with premium finishes and a panoramic view over Baneasa Forest.

"Started 15 years ago, GREENFIELD Băneasa remains a contemporary and competitive project, in the top searches and choices of Bucharest inhabitants. IMPACT Developer & Contractor has increased its sales with 45%, up to 90 million lei, in the first semester of 2022

  • The first 6 months of the year, IMPACT sold 110 units, with a value of 90.3 million lei, up 45% compared to the same period last year;
  • In H1 IMPACT concluded 177 new pre-sales (RON 132.4 million),
  • On June 30, 2022, IMPACT had pre-sale contracts and reservation for 618 units, worth 363.1 million lei;
  • The gross margin recorded by IMPACT group was 39%, up from 31% in the first half of 2021;
  • IMPACT achieved, at consolidated group level, a gross profit of 35.23 million lei in the first half of 2022, up 64% compared to the same period last year;
  • On June 30, 2022, the total value of assets adjusted to fair value in accordance with EPRA standards was 317 million euro.

IMPACT Developer & Contractor, the first real estate developer listed on the Bucharest Stock Exchange (stock symbol IMP), closes the first semester of 2022 with a 45% sales increase and a 64% gross profit increase compared to the same period of last year. Thus, the developer obtained 90.3 million lei by selling completed units and a 35.23 million lei gross profit, with a 39% gross margin.

The sales increase is due to having completely finished the LUXURIA Residence compound located in Expozitiei area in Bucharest. In the first semester, IMPACT pre-contracted and reserved 177 new units in the company’s projects located in Bucharest, Constanta and Iasi. Thus, as of June 30, 2022, IMPACT had a total of 618 pre-contracted and reserved units, with a 363.1 million lei value, which will be recorded as income starting the second semester of 2022.

“We have quickly adapted to the new geopolitical context and managed to maintain a good pace of sales and pre-sales. Real estate remained one of the safest investment options and clients who wanted to secure their capital chose our projects due to the quality and sustainability of the developments. The first half of the year was, therefore, an effervescent one, with an intensification of operational activity, through the expansion in Bucharest and in other big cities of the country, a vertical consolidation at group level, and on the capital market, through the conclusion of capital increases, with a cash contribution and by incorporating reserves in a total amount of 45.4 million euro. For the second half of the year, we plan to accelerate production and continue expanding nationally. We are convinced that the ambitious project development program, along with the increase in free-float, will lead to better liquidity of IMP shares”, said Constantin Sebeșanu, CEO IMPACT Developer & Contractor.

As of June 30, 2022, IMPACT owned 89.4 ha of land with an EPRA value estimated at 786.5 million lei, of which 73.5 ha with immediate development potential, on which can be built up to 15,000 apartments, infrastructure and spaces for community services (schools, kindergartens, church, parks) and shopping centers, with a cumulative development value of over 1.5 billion euro.

By the end of the year, IMPACT will open GREENFIELD Plaza, which includes the Wellness Club by Greenfield , and will deliverover 300 new apartments. In the next 12 months, IMPACT plans to complete another 750 apartments and will start new investments nationwide for another 850 apartments, thus creating the conditions for a positive business development in 2023.

IMPACT Developer & Contractor runs a Capital Increase through Private Placement between 18 and 19 August

IMPACT Developer & Contractor, the first real estate developer listed on the Bucharest Stock Exchange (stock symbol: IMP), announces a Capital Increase through Private Placement between August 18th and August 19th, through the issuance of a maximum of 125,000,000 shares.

The capital raised by IMPACT will be used to support the company’s development strategy. This operation is the second share capital increase through private placement in 2022, intermediated by Swiss Capital as licensed broker, after a successful first action finalized earlier this year.

The transaction was carried out by the developer's internal sales team.

IMPACT Developer & Contractor integrates in its group RCTI Company, its main partner in constructions with a turnover of 95.3 million lei in 2021

Bucharest, 13.07.2022: IMPACT Developer & Contractor, the first real estate developer established in Romania and the first real estate company listed on the Bucharest Stock Exchange (BVB), acquires the majority shareholding of RCTI Company.

IMPACT Developer & Contractor has concluded an agreement with RCTI Company to take over 51% of the company's shares. Following the transaction, RCTI Company will be better capitalized in order to adapt to the increasing volume of construction works in partnership with IMPACT Developer & Contractor. The completion of the transaction is conditioned by the Competition Council’s approval.

Impact Developer & Contractor grants its shareholders 2 free shares for every 5 owned

Impact Developer & Contractor, the first real estate developer listed on the Bucharest Stock Exchange (IMP stock symbol), registered, on June 30, in the Trade Register the share capital increase operated by granting each shareholder 2 free shares for every 5 shares owned.

IMPACT’s share capital increases up to 580,730,953.25 lei, by the partial incorporation of the undistributed reported result in the previous financial years. The 663,692,518 newly issued shares have a value of 165,923,129.50 lei and will not change the shareholdings.

IMPACT Developer & Contractor – 100% EBITDA increase and 49% gross profit increase in Q1 2022 compared to the same period last year

  • IMPACT Developer & Contractor obtained, at consolidated group level, a 16.96 million lei gross profit in the first quarter of 2022, with a 49% increase compared to the same period of last year;
  • The gross margin registered by the IMPACT group was 45%, increasing from 29% compared to the first quarter of 2021;
  • At March 31, 2022 the total value of IMPACT assets adjusted to fair value, in accordance with EPRA standards, was 293 million euros;
  • As of March 31, 2022, IMPACT had concluded reservations and pre-sale contracts for 509 units worth 288.83 million lei;
  • In the first quarter of 2022 IMPACT sold and pre-sold 118 units with a 94.33 million lei value;
  • IMPACT is in the second year of the new production cycle and will deliver over 800  apartments in Bucharest and Constanța by the end of the year;
  • The value of an IMP share increased by 29% from 0.49 lei on March 31, 2021 to 0.63 lei on March 31, 2022.

 

IMPACT Developer & Contractor closes the first quarter of 2022 with a 16.96 million lei gross profit, up 49% compared to the same period last year, despite of a difficult start of the year, marked by the last wave of the Covid-19 pandemic and the conflict in Ukraine.

“The beginning of the year was a positive one for IMPACT, with a successful share capital increase action and increasing sales amid the entry into force of the new law on housing VAT. Unfortunately, the war in Ukraine had a negative impact on all markets, industrial and especially on the middle segment of residential developments, where most customers buy on loans and where an attitude of expectation was observed, as a direct effect of the increasing interest rates. On the other hand, we noticed a very large increase in demand from small investors for completed medium-high projects and we are glad that we were able to respond to this request with the Luxuria Residence project ", said Constantin Sebesanu, CEO Impact Developer & Contractor.

In the second of a 3-year production cycle, IMPACT had signed as of March 31, 2022 pre-sale and reservation contracts for 509 apartments, with a 288.83 million lei value, which is expected to turn into revenue from the second quarter of 2022 until 2024.

The first quarter of the year also brought the inclusion of IMP shares in the Global Micro Cap FTSE Russell indices, part of the FTSE Global Equity Index Series (GEIS) for Emerging Markets. IMPACT’s inclusion in the index series came as a result of meeting the capitalization and liquidity criteria. At the time, only 5 other Romanian companies had been included in the FTSE Russell indices, and the increase of the Romanian companies share brought an increase of visibility and opportunities to attract capital not only for the company, but for the entire local business environment.

In January 2022, IMPACT successfully carried out the first share capital increase action of the year, concluded by registering at the Central Depository the 84,231,295 new shares totaling 58,961,906.50 lei, subscribed through Private Placement. IMPACT’s share capital was thus increased from 393,750,000 lei to 414,807,823.75 lei, with 16 investors participating, 6 of which were institutional investors.

The Company plans to continue implementing the 6-year investment strategy, approved last year, aimed at developing new projects both in Bucharest and in other important cities of the country.

As of March 31, 2021, IMPACT owned 89.4 ha of land with an EPRA value estimated at 799.2 million lei, of which 73.5 ha with immediate development potential, on which new large-scale projects with mixed functions and infrastructure projects will be erected. In addition to the expansion process at national level, the Company has diversified its current portfolio of projects, getting involved in the development of the largest community center in a private residential complex, which will include wellness club, shopping center, office building, public school and kindergarten.

IMPACT Developer & Contractor closes 2021 with an operating profit of almost 100 million lei

  • In 2021 Impact Developer & Contractor obtained, at consolidated group level, a 98.5 million lei operating profit, with a gross margin of 36%, increasing from 31%;
  • IMPACT is at the beginning of a new production cycle, marked by major investments in the expansion of GREENFIELD Baneasa in Bucharest, the ongoing development of GREENFIELD Plaza project in Bucharest and BOREAL Plus in Constanta, the acquisition of a new land in Iasi which will be used for the development of GREENFIELD Copou -  projects with a total value estimated at 1.9 billion lei;
  • As of 31st of December 2021, 90% of the total completed units in GREENFIELD Baneasa and LUXURIA Residence were contracted, considering both sales and pre-sales contracts;
  • In 2021 IMPACT pre-sold 430 units, an increase of 37% compared to the previous year, with a total value of 250 million lei, and signed sales contracts for 183 units from which the company obtained revenues of 138 million lei;
  • In 2021 IMP shares registered an advance of 120% last year on increasing transaction volumes, the company exceeding for the first time the level 1 billion Lei market capitalization in August.

 

The year 2021 represented for Impact Developer & Contractor the first year of a new production cycle, the capitalization and consolidation of the company, but also the start of sales.

Last year a total of 430 units, worth of 250 million lei were pre-sold, in increase with 37% compared to 2020, etimated to be capitalized as the projects are being completed. A total of 183 units, with a value of 138 million lei, were sold. 77% of the sold units are located in LUXURIA Residence in Bucharest, where the last development phase was completed in December 2021.

The operating profit of the group totaled 98.5 million lei, with a slight increase compared to 2020, in the context of lower sales revenues and a low level of completed units in GREENFIELD Baneasa, the group's main project. In 2021 the gross margin was 36%, up from 31% last year. Starting with 2022, the previously signed pre-sales will be capitalized, as the projects will be completed, being fully reflected in revenues, while maintaining the trend for the gross margin.

IMPACT also started an extensive internal consolidating process, the group’s preliminary financial results indicating an increase in equity since the launching of the financing program of the 6 year strategy announced in the summer of 2021.

“The year 2021 marked the beginning of the construction for the extension of some projects or the development of new ones, operations that on the residential market usually last for 3 years. It was also a year in which we optimized processes, we invested heavily, purchased land and took concrete actions for expansion in the most important cities of the country. As a result, we have seen a growing interest from the customers, a fact visible in the increasing number pre-sales, but also from the investors, who decided to join us by subscribing to the share capital increase that took place in January 2022.We aim to enhance our free-float and the liquidity of IMP shares on BVB, in order to sustain our financing program through new issues of green bonds and shares”, stated Constantin Sebeșanu, CEO Impact Developer & Contractor.

In 2021, IMPACT continued to expand nationwide by acquiring a 2.6 hectares of land in Iasi, in addition to the one purchased in 2020. The entire land has a total area of 5 hectares and will be used for the development of Greenfield Copou compound, one of the largest projects in Moldova area, which will include 1,062 apartments with an estimated value of 830 million lei.Thus, on December 31, 2021, IMPACT owned 89.4 ha of land with a market value of 798 million lei, on which new large projects with mixed functions will be developed, along with infrastructure projects.

In addition to the nationwide expansion process, the company has diversified its current project portfolio. IMPACT is building the largest community center in a residential neighborhood, in the Greenfield Baneasa compound, which will include a Wellness Club, an office building, a shopping center, public school and kindergarten.

The company's strategy for the next 6 years aims at the development of 1.25 million sqm residential units, with an estimated market value of over 1.5 billion lei. Recently, the company received the maximum score of 10 points for communication with investors in 2021, according to the Association for Investor Relations on the Romanian Stock Exchange (ARIR), based on the evaluation of VEKTOR index. IMPACT completes LUXURIA Residence, the first BREEAM Excellent certified residential project in Bucharest

IMPACT Developer & Contractor has fully completed the LUXURIA Residence compound, the first BREEAM Excellent  residential certified project in Bucharest, with a total current value estimated at 150 million Euros.

The entire condominium, contracted in proportion of over 50%, totals nine buildings with 630 apartments, 728 underground parking spaces, 9,650 square meters of green spaces, fitness center, two lounges, reception and playgrounds for children.

IMPACT made the reception of the last phase of LUXURIA Residence, which therefore becomes the first entirely completed residential compound in Expoziției area, an area that, due to its extremely attractive positioning in the Capital, is currently going through an urban revival process, with a multitude of projects in course of development or announced for the coming years.

The start of the capital increase through a private placement is based on the decision of the Extraordinary General Meeting of Shareholders on 20.08.2021, which approved the increase of the company's share capital, by cash contribution, through one or more issues of new ordinary shares, with a maximum number of 775 million new shares. The final number of new shares by which the share capital will be increased within the new private placement will be established following its development and completion, by the decision of the Board of Directors which will ascertain the number of shares subscribed and which will approve the amendment of the articles of incorporation of the Company accordingly.

Impact Developer & Contractor, 51% record increase in home pre-sales in the first 9 months of the year compared to the same period last year

  • In the first 9 months of the year Impact Developer & Contractor pre-sold and reserved 379 housing units;
  • The total value of the pre-sold and reserved housing units stands at 40.9 mil EUR, which will be translated into revenues as the apartments will be completed in the following periods;
  • Impact owns 73.5 hectares of land, on which it develops simultaneously 6 residential compounds;
  • The land bank owned has a development potential of over 1 mil sqm, respectively 12,404 apartments estimated at an approximate market value of over 1.8 billion EUR, out of which 906 million EUR estimated in the period 2022-2027;
  • Impact Developer & Contractor recorded revenues of 22.29 million EUR in the first 9 months of the year and a profit of 7.33 million EUR;
  • At the end of September, Impact held building permits for 1,623 new housing units and it is in process of receiving building permits for another 2,655 housing units, a doubling of the construction volume in the near future being forecasted.

 

Bucharest, 12 November, 2021: Impact Developer & Contractor (stock symbol IMP), the first real estate developer listed on the Bucharest Stock Exchange, recorded a 51% increase in the number of contracted housing units in the first 9 months of the year, compared to the same period last year. Thus, pre-sales and reservations were concluded for 379 housing units, with a total value of EUR 40.9 million.

The increase in operational activity is a positive signal for the shareholders and investors of Impact Developer & Contractor (Impact), the company being at the beginning of a new production cycle, registering on September 30, 2021 a large number of housing units under development at national level. Thus, at the end of the first 9 months of the year, Impact had building permits for 1,264 apartments in Greenfield Baneasa in Bucharest and 359 housing units in Boreal Plus in Constanta. At the same time, the company is in an advanced stage of receiving building permits for an additional 2,655 units, thus forecasting a doubling of the volume of construction in the near future.

As part of the expansion strategy in other major cities of the country, the company owns approximately 73.5 hectares of land in Bucharest, Constanta, Iasi and Oradea, on which it develops 6 projects: Greenfield Baneasa (expansion, Bucharest), Boreal Plus (Constanta), Greenfield Copou (Iasi), Luxuria City Center (Bucharest), Greenfield West (Bucharest) and Lotus (Oradea). Between January and September 2021, Impact sold 145 apartments, of which 121 apartments in the Luxuria Residence compound in Expozitiei, 21 units in Greenfield Baneasa and 3 apartments in other projects developed by Impact in the past. On September 30, 2021, the apartments completed in the northern district of the capital, Greenfield Baneasa, were 99% sold. The company is at the beginning of a new development strategy, which aims to develop in parallel in at least six locations at the country level, in various areas with potential. Through its vast geographical coverage Impact will continuously deliver apartments at BREEAM Excellent and nZEB (for projects authorized from 1 January 2021) sustainability standards, which offer a high level of housing quality while protecting the environment. Although at the beginning of the production cycle for most of the projects under development, thus having a low stock of completed housing units, the company recorded revenues of 22.29 million EUR in the first 9 months of the year and a profit of 7.33 million EUR.

In order to consolidate its activity according to the development strategy, Impact increased its share capital to the amount of 393.75 million lei in June, by incorporating capital premiums and part of the retained earnings. By the end of the year, Impact will increase the number of units under development to 2,500, thus building the foundations for the implementation of the 6-year development strategy published on the company's website.

Impact Developer & Contractor STUDY: 95% of Bucharest residents changed their lifestyle during the pandemic

95% of Bucharest residents have changed their lifestyle and perspectives on housing quality in the last year and a half, as a result of the pandemic, according to a study commissioned by Impact Developer & Contractor. For the inhabitants of the capital, peace, outdoor green space and air quality are the most important aspects for the harmony of the home during the pandemic.

Conducted on a sample of 619 Bucharest residents, divided into inhabitants of various neighborhoods and Greenfield Baneasa residents, the district developed by Impact Developer & Contractor in the north of the capital, the study follows the perspectives on the quality of life during the pandemic and the aspects that contribute to the well-being of the inhabitants.

One of the conclusions of the study is that the pandemic has affected the lifestyle and housing preferences among Bucharest residents. In the last year and a half 47% of the Bucharest residents who do not live in Greenfield Baneasa would have opted to live in a reasidential area near a forest in order to benefit from peace, green spaces and fresh air.  Just 3 out of 10 Bucharest residents would have chosen to live in the same habitation. For a higher level of comfort, 9 out of 10 Bucharest residents would have wanted a larger home, preferably a house or an apartment with private garden.

During the pandemic, Greenfield Baneasa residents considered as main advantages of the neigborhood the possibility to get outside to fresh air, the quietness, the lifestyle and the communication with neighbors. Due to the district’s location, the residents have felt less exposed to the COVID-19 risks, less limited in terms of options to get outside to fresh air, and less bored. Alongside these benefits, the quality of the house, together with the outdoor green space, including the view from the home, represented the most important housing criterion for a third of Greenfield Baneasa residents.

The pandemic has also affected the professional life of the Bucharest inhabitants. From the beginning of the pandemic to date, about 54% of Greenfield Baneasa residents have worked and continue to work mainly from home, while 37% of Greenfield non-residents have worked from home. The living conditions within Greenfield Baneasa facilitated this kind of working, 66% of its residents appreciating the possibility to work undisturbed.

The pandemic emphasised the need to be a part of a community. Thus the most important criterion Bucharest residents take into consideration for a future home is the quality of neighbors, residents of the district. The next criterion is the level of pollution, as Bucharest residents wish to live in an unpolluted area. At this moment, 61% of the Bucharest residents who do not live in Greenfield Baneasa are dissatisfied with the air quality.

In the following 2 years, about 3 out of 10 Bucharest inhabitants, Greenfield Baneasa non-residents intent to move in a new home. Green space (yard/balcony/proximity) and a larger surface are the main housing criteria for the new living place. Most of the Bucharest residents would opt for a 3-room apartment in a(n) area/district with easy access by car and available parking places.

IMPACT establishes an ESG department and switches to electric cars

Impact Developer & Contractor (IMP) takes another major step in its development strategy and establishes the ESG (Environmental, Social and Corporate Governance) department within the organizational structure. With the establishment of the department, Impact will make available to investors, in addition to regular financial reporting, non-financial reports according to the obligations assumed by the company in the Green Bond Framework.

The new department will have the task of drawing and implementing the principles and objectives of environment, social and corporate governance, in line with the values assumed by the company in its real estate development activity – integrity, transparency, innovation and guidance, respect for the environment and sustainable construction, responsibility and motivation. The department is coordinated by Teodora Danila, who has over 22 years of experience in terms of external audit, compliance, improvement of processes, as well as of internal control systems.

The ESG department manages the application of the Green Bond Framework, developed by the company, on the basis of which IMPACT intends to issue green bonds to finance and refinance existing projects, built using green, sustainable technologies and contributing to the environmental objective of climate change mitigation and to the achievement of the United Nations Sustainable Development Goals. The Framework defines eligibility criteria in four areas: green buildings, sustainable water and wastewater management, renewable energy and clean transportation.

By integrating ESG practices into operations, Impact aims to improve long-term performance and an efficient risk management, which ultimately contribute to increasing investor and customer confidence in the company's future prospects.

Given its strong commitment to reducing the impact on the environment, Impact took the decision to replace the current fleet of 'traditional' automobiles (internal combustion engines) with one of electric cars. Impact aims to develop 1.25 million sqm residential constructions in the next 6 years, with a current market value estimated at around € 1.4 billion

Impact Developer & Contractor (IMP) has published its medium-term development plan on the impactsa.ro website as part of good practices of corporate governance, transparency, accountability and investor communications. The company aims to develop 1.25 million square meters by 2027, respectively over 10,000 homes in the medium - affordable segment, with an estimated market value of 1.4 billion Euros without VAT.

The company's development plan for the next 6 years includes the completion of the projects under execution and the start of 8 new projects, mainly on the land currently existing in the portfolio. In line with previous developments, the new residential projects will be developed on large areas of land, in outstanding locations, with green neighborhoods, built to nZEB and BREEAM Excellent standards using sustainable principles and technologies, respectively using alternative energy sources, smart city solutions, electric mobility solutions. The projects will provide essential services integrated within community centers, including digitized property management services.

The 6-year development plan is focused on affordable housing, which integrate elements that favor both a healthy lifestyle in green areas and an active social and cultural life for community members.

Impact Developer & Contractor (IMP) entered today the select club of large Romanian companies with a market capitalization of over one billion lei. Impact launches a new phase in Greenfield Baneasa neighbourhood and thus consolidates its current plan of more than 2,500 units under development by the end of the year

Impact Developer & Contractor continues the ambitious development plan and starts a new phase in Greenfield Baneasa, the neighbourhood located in the northern area of the capital. It comprises 326 new apartments, available for sale from September this year. Impact plans to activate the development of 2,707 units by the end of the year within projects holding or about to receive building permits in Bucharest, Constanta and Iasi, with a completion term of less than two years.

The new development phase comprises four buildings, located near the Greenfield Plaza shopping center and next to the educational center. The buildings will integrate a total of 326 apartments with 2 and 3 rooms, as well as studios, which will benefit from efficient interior partitioning and high-quality finishes, with areas ranging from 62 to 108 sqm. The units will be available for sale from September, at launch prices starting from 76,776 euro + VAT.

For this new stage of development, Impact has signed a general contractor contract with RCTI Company S.R.L., which will start the construction works in September, with a deadline of 14 months.

Greenfield Baneasa is about to become the largest active construction site of apartments at national level, Impact already holding building permits for a total of 1,305 new units within the complex. Together with the other units holding or about to receive building permits at national level, Impact will have a total of 2,707 apartments under construction at different stages by the end of the year and which it will complete in the next two years.

The launch of the new phase in Greenfield Baneasa comes in response to the high demand for apartments in the neighborhood embraced by the forest, the completed units having already been sold. At the same time, this step fits into our strategy to accelerate expansion at national level, supported by over 2,500 units that we will have in development by the end of the year. IMPACT decides to increase the share capital for the expansion at national level

Impact Developer & Contractor (IMP) takes another step in the national expansion strategy and decides to increase the share capital. The decision was taken unanimously by 93.08% of the company's shareholders with voting rights within AGEA and consists in delegating and authorizing the Board of Directors to increase the share capital within one year, through one or more issuances of ordinary shares, with a nominal value of up to 193,750,000 lei.

The Extraordinary Shareholders' General Assembly of Impact was attended by the shareholders representing 93.08% of the total number of votes (Impact shares not included in the quorum). They gave the Board of Directors the power to decide to restrict or lift the right of preference of the existing shareholders at the date of the share capital increase.

The decision was made in the context in which Impact started the expansion strategy at national level by developing large-scale residential compounds, at nZEB and BREEAM Excellent sustainability standards, in the major cities of the country.

IMPACT completes the project Luxuria Residence in the Expozitiei area

Bucharest, August 12th, 2021: Impact Developer & Contractor, the first real estate developer in Romania listed on the Bucharest Stock Exchange, completes the last phase of Luxuria Residence, the upper-class project located in Expozitiei, the capital’s new business center. Thus, Luxuria Residence becomes the first urban community in the area.

The third and final development phase includes 130 studios, 2-, 3- and 4-room apartments and duplexes in two buildings of 8 and 11 floors. These are complemented by 1,064 square meters of green spaces, children's playground and 135 exclusively underground parking spaces.

Impact Developer & Contractor has obtained the maximum score (10) for its communication with investors, according to the VEKTOR indicator published by ARIR (The Romanian Investor Relations Association). The review was conducted at the company’s request.

VEKTOR is the investor relations indicator for listed companies and is calculated based on a methodology that comprises 15 criteria, in line with international best practices in the field.

Impact Developer & Contractor acquires 2.6 ha land in Iasi Copou Hill area

Bucharest, 16.07.2021: Impact Developer & Contractor, the first real estate developer in Romania listed on the Bucharest Stock Exchange (since 1996), with RON 842,6 million current market capitalisation , announces the acquisition, through the Greenfield Copou residence subsidiary, of 2.6 ha land located on the Copou Hill, one of the most popular residential areas in Iasi and also an important historical part of the city.

 

The 2.6 ha of land suplements the land purchased by the developer last October. On, the 4.6 hatotal land area, Impact will develop GREENFIELD Copou residential project, with over 1.000 apartments in low-height blocks along with essential services (sports hall, restaurants, shops, swimming pool, playgrounds for children, kindergarten and after-school, electric car loading stations, bicycle parks), developed within an integrated community center. IMPACT is advancing construction works on Boreal Plus project

Impact Developer & Contractor, the only real estate developer in Romania listed on the Bucharest Stock Exchange, is completing the villas within the Boreal Plus compound developed in Constanta. At the same time, it was built the foundation of the first buildings, with a total of 209 apartments, which are expected to be delivered in the first half of 2022. The developer also advanced the works on the multi-storey car park, with a GF + 4F height, by finishing the first construction level.

The new community, suitable for young families, will have secure access and will also integrate a kindergarten, along with facilities such as a  playground, sports field, green areas and commercial spaces. The developer is in the process of obtaining approvals for its building permit.

The 18 villas which are in the final execution stage are built sustainably, using solutions with low environmental impact and high efficiency for residents, for the entire life cycle of the construction. The villas are ready to be visited and will be delivered in August this year.

Revenues up 71% for IMPACT in the first quarter of 2021

Impact Developer & Contractor recorded revenues of 39.3 million LEI from housing sales in the first 3 months of 2021. These are up by 71% compared to the same period of last year. The revenue growth is due to the increase of the total number of sold units to 62, of which 76% represent premium units in the residential complex Luxuria Residence.

In addition to the sold units, on March 31st, 2021, were concluded pre-sale contracts and reservations for 226 apartments in the projects developed in Bucharest - Greenfield Baneasa and Luxuria Residence, and Constanța - Boreal Plus, amounting to 125.9 million LEI, which will turn into revenues starting with the second quarter of the year.

In the first three months of the year, Impact's activity focused on the expansion of Greenfield Baneasa complex with the first 544 apartments from the fourth development phase, completing the last 130 apartments of Luxuria Residence, and continuing the construction works on the first 209 apartments and 18 villas within Boreal Plus residential compound in Constanta. Also, in the first quarter of this year, Impact continued its national expansion plans, by starting the procedures to obtain the building permit for 480 apartments in Greenfield Copou project in Iasi.

For the development of the projects, the company is considering several financing solutions, from bond issues to bank financing, and the issuance of new shares. Thus, at the end of March, Impact listed on the main market of BVB a bond issue worth EUR 6.6 million. The issue comprises 13,163 euro-denominated bonds, with a maturity of six years and a face value of 500 euros/bond. The bonds were issued at the end of December 2020 and have a fixed interest rate of 6.40% p.a., payable annually.

Also in March 2021, the first REIT (Real Estate Investment Trust) company, Star Residence Invest, developed by Impact, was listed on BVB. At the time of listing, Impact owned 22.38% of the REIT shares, and Star Residence Invest had a patrimony consisting of 14 apartments and 26 parking lots, leased for a period of 5 years, which ensures a gross yield of 11% / year.

All the residential compounds that Impact has under development are designed according to the international sustainability standards and according to the BREEAM Excellent certification criteria, in order to offer a high level of housing and construction quality. Moreover, both the apartment buildings of Greenfield Copou and those of the new projects will have an energy consumption almost equal to zero, respecting the new construction standard of nZEB (Nearly Zero Energy Building), which consists of sustainable design, energy-saving technologies and the use of renewable energy.

Constantin Sebeșanu is appointed CEO of Impact Developer & Contractor SA

The Board of Directors of IMPACT Developer & Contractor SA (IMP) decided to appoint Constantin (Tinu) Sebeșanu as CEO of the company with a 4-year mandate, starting with April 28th, 2021. He will replace Sorin Apostol, who was appointed Executive Director and member of the Board of Directors at the General Shareholders Meeting. 

Previously, Constantin Sebeșanu held the position of Executive Director (COO - Chief Operating Officer) of Impact, coordinating the company’s development, sales, and marketing departments.

Impact's balance sheet for 2020, approved by GMS: revenues increased by 28% due to sales in Greenfield Băneasa and Luxuria Residence projects

The General Meeting of Shareholders approved the financial statements of Impact Developer & Contractor for 2020. The company's balance sheet shows revenues worth 42.3 million euros, obtained from home sales in the projects Greenfield Băneasa and Luxuria Residence. The revenues increased by 28% compared to 2019, thus representing the developer’s best result of the last decade.

 Last year Impact sold a total of 368 apartments (30,864 sqm built), in Greenfield Băneasa complex and the upper-class compound Luxuria Residence located in Expoziției area. Besides these, the developer has concluded 199 sale-purchase precontracts and reservations, totaling 24.5 million euros, which are to be converted into revenues during this year and in 2022.

For Impact, 2020 marked the beginning of its national expansion, with the mission to build sustainable residential projects that will provide a high quality of living, attested by the green BREEAM Excellent certification. 

The developer has started the Boreal Plus complex in Constanţa. Located 15 minutes from the beach and the city center, the project includes green spaces, children's playgrounds, shopping spaces, hypermarket, and kindergarten. Impact also expanded in the capital of Moldova, acquiring the land for the development of Greenfield Copou, which will be one of the largest green residential building projects in the region.

The financing solutions considered by the company are still based on the capital market, respectively bond issues listed on the main market of BVB, with private placement, new shares issues, but also bank financing. The shares of IMPACT Developer & Contractor SA (“IMP”) are listed in the Premium category of the Bucharest Stock Exchange, the company's market capitalization at the end of 2020 exceeding 102 million euros. In the last 3 years, the value of the company's shares has constantly increased, to the value of 0.39 euro/share, up by 28.5% compared to 2019.

Impact Developer & Contractor opens its first office in Iași

Impact Developer & Contractor, the only real estate developer listed on the Bucharest Stock Exchange, continues its national expansion by opening an office in Iaşi, the company’s fifth one in the country. The office will serve the coordination of the construction and sales activities for the residential project Greenfield Copou, which is due to start this year.

Located in Moldova Center, the new Impact office will function both as a workspace and meeting venue for the project team, consisting of designers, project manager, and builders, but also as a sales office, as soon as construction works will begin.

Impact announces record revenues of 42,7 million EUR for 2020

Impact Developer & Contractor closed the year 2020 with revenues from the sale of real estate properties worth 42,7 million EUR, up 29,4% compared to 2019, representing the best result of the developer in the last decade. In a pandemic year, the company sold a total of 369 units (31,191 sqm built area), out of which 205 were contracted in Greenfield Residence Băneasa and 164 in Luxuria Residence compound.  

In addition to the purchased apartments, Impact concluded the year with 198 sale-purchase precontracts and reservations, totaling 24 million EUR, half of which are to be converted into revenues in the first semester of this year.  

In 2020, the company continued its residential development activities at a steady rhythm, despite the difficulties caused by the pandemic. In this direction, Impact implemented its national expansion strategy, starting in Constanța the construction of the premium residential project, Boreal Plus, and acquiring land in Iași for the development of a sustainable project, which will improve Romanians’ living standards. All the projects that the company has under development have been designed for BREEAM Excellent certification.

The central axis of Impact Developer & Contractor’s (IMP symbol) development strategy, the only real estate developer in Romania listed on the Bucharest Stock Exchange, Premium category, is the capital market, respectively bond issues listed on the main market of BVB, with private placement, bank financing and issue of new shares.

In the last year, Impact shares increased by 26%, from 0.31 EUR / share to 0.39 EUR / share on December 31st, 2020, with the company's market capitalization exceeding 102 million EUR. Within the upper-class compound Luxuria Residence, positioned in the new business center of Bucharest in the Expoziției area, the first two development phases, with 500 apartments were completed, and the last phase with 130 apartments is currently under development, with delivery deadline in the first half of this year. The project, BREEAM Excellent certified, offers a unique living concept, with outstanding architecture, premium finishes, and a select range of facilities, from large green spaces to concierge services.   

In 2020, the company obtained the building permit and started the works for the fourth phase of Greenfield Băneasa, which will be developed at the highest standards of energy efficiency. Construction works have also begun on Greenfield Plaza, which will provide residents and the general public with an impressive range of facilities: strip mall, wellness area equipped with a gym, SPAs, tennis court, semi-Olympic indoor pool, outdoor pool, and an office building, which will become the headquarters of IMPACT Developer & Contractor. The apartments of the new development phase will be delivered in stages, starting this summer.

In addition to the works carried out on the projects in the Capital, Impact has started the Boreal Plus project in Constanţa, which brings on the market 18 villas and 673 apartments, along with a series of facilities for residents: green spaces, children playgrounds, commercial spaces, hypermarket, and kindergarten. The villas of the compound are in an advanced construction phase, the estimated delivery being the first half of 2021. At the same time, the first phase of apartment buildings is under development, with 209 apartments. IMPACT Developer & Contractor obtained the urbanism certificate for the construction of a kindergarten in Boreal Plus complex, in Constanța

IMPACT Developer & Contractor obtained from the City Hall of Constanța the urbanism certificate for the construction of a kindergarten within the premium compound Boreal Plus, developed in the north of Constanța. The developer's investment values 690,000 Euros and the construction of the kindergarten aims to increase the quality of life of young families, by facilitating access to educational services in the immediate vicinity of the home.

The project has a kindergarten function integrated into the Boreal Plus ensemble and it will be developed on an area of 1,350 sqm, with a height of GF + 1 and a developed area of 1,400 sqm. The kindergarten will benefit from exterior arrangements and fencing, connections to utilities along road and pedestrian access roads. The works will start after the developer obtains the building permit, estimated for June 2021.

Impact Developer & Contractor starts construction work on the first 406 apartments in Greenfield Teilor Băneasa

Impact Developer & Contractor signed two general contractor agreements, worth 18.4 million Euro + VAT, with Electrogrup S.A. for the construction of 406 apartments in phase IV in Greenfield. The works will start in January 2021 and will be completed in the first quarter of 2022.

In January 2021, it will begin the construction works on the New Greenfield, with the aim of implementing an environmentally responsible building concept that meets the highest standards of energy efficiency.

The contracts signed with Electrogrup, member of E-INFRA, aim at building the first 5 blocks, with a total of 406 apartments out of a total of 14 blocks and 1167 apartments. The value of the contracts is 18.4 million Euro + VAT, and the value of the investment amounts to 26.6 million Euro + VAT. The offer includes studio units, 2-room and 3-room apartments, and parking spaces will be available both underground and above-ground.

The common goal of the developer and builders is to build responsibly, using carefully selected materials and effective technical solutions, in line with the sustainability policy adopted by Impact. The New Greenfield will benefit from solar panels, a selective waste collection and management system, as well as efficient lighting, along with wastewater recovery and management infrastructure.

Impact Developer & Contractor successfully completes, in advance, the private placement of corporate bonds brokered by TradeVille

Impact Developer & Contractor announces the successful and early termination of the private placement of corporate bonds intermediated by TradeVille. The bonds issued in the private placement held between 11 and 21 December (symbol IMP26E) are denominated in EUR, have a maturity of 6 years and a fixed annual coupon rate set by the issuer of 6.4% payable semi-annually. The value of the subscriptions made during the placement was EUR 6,581,500.

The nominal value of one bond is EUR 500. The minimum subscription in the investment was 50 bonds, the equivalent of EUR 25,000. Most subscriptions were made online through the TradeVille trading platform. The bonds are to be listed on the multilateral trading system operated by the Bucharest Stock Exchange.

Luxuria Residence delivers the second development phase with 268 apartments

Impact Developer & Contractor delivers the second phase of the residential compound Luxuria Residence located in Expoziției area. The new development phase includes 4 high-quality buildings with a total of 268 premium units, an indoor park of 2,500 sqm, a lounge, and a fitness center for the residents. 

Thus Luxuria Residence reaches a total of 500 finished apartments, corresponding to the first two stages of development, another 130 units being under construction, in the third phase, which will be delivered in the first half of 2021. IMPACT Developer & Contractor announces the completion of the stock of apartments built in the first three phases of the Greenfield Băneasa project. The neighborhood is in the process of expanding with a new phase of development and new facilities that will turn it into the most attractive residential project in Bucharest.

The award is given by the Chamber of Commerce and Industry of Bucharest and is a recognition of the activity and economic performance of Impact in 2019.

 Impact Developer & Contractor remains in first place in the top developers in the capital this year as well. The award confirms the excellent financial results obtained in 2019, generated mainly by sales in the two residential projects in Bucharest - Greenfield Residence Băneasa and Luxuria Residence. In 2019, Impact recorded revenues of 156.6 million lei from sale-purchase contracts, increasing by 54% compared to the previous year's figures. The company reported for the same period, an operating profit of 189,107 lei, EBITDA of 45,475  lei and a net profit of 154,484 lei.

In establishing the rankings, indicators were taken into account such as: net turnover, operating profit, operating profit rate, efficiency of human resources use and efficiency of use of capital employed.

Impact maintains its double digit growth: 35% increase in sales revenue in the first 9 months of the year

Impact Developer & Contractor closed the first 9 months of 2020 with revenues from the homes sales with a total value of 135,349 million lei, increasing by 35% compared to the similar period of 2019. The evolution is due a 23% increase in sales volume, reaching a total of 258 units traded (apartments, plus parking lots and yard lands related to the package).

Of the 258 homes sold during this period, 156 units were contracted in Greenfield Residence Băneasa and 102 units are luxury apartments in Luxuria Residence compound, in the Expoziției area. The apartments sold totaled a built area of 21,877 sqm. The results recorded exceed the record level of revenues registered last year, when the company had the best results in the last 10 years.

In addition to the registered sale-purchase contracts, on September 30, 2020, pre-sale-purchase contracts and reservations were concluded for another 217 apartments in Greenfield and Luxuria, with a value of 120.65 million lei, estimated to turn into revenues in the period Q4 2020 - 2022.

Impact Developer & Contractor started the construction of Greenfield Plaza, the largest community center in a residential complex

Impact Developer & Contractor started the construction works at the fourth phase of development of the Greenfield Băneasa residential compound. This will include Impact's first commercial project, Greenfield Plaza, with 7,258 sqm of space for trade and services and 1,184 sqm of office spaces. The entire project has a value of 12 million Euros and it will be built with RCTI COMPANY S.R.L. with which Impact signed a contract worth 7.5 million Euros.

The authorized phase targets the largest community center dedicated to a residential community and completes a budding mini-city. Sustainably designed and environmentally friendly, Greenfield Plaza, developed on an area of ​​21,496 square meters, includes 2 buildings with a height of Ug + Gf + 1F and GF + 2F + thF, over 200 parking spaces and it will be completed in 2022. The entire project includes: a strip mall, an impressive wellness area with gym, SPAs, tennis court, semi-Olympic pool and indoor and outdoor pool and its own building of office.

Within the shopping center, there will be available for rent, spaces totaling 6,730 sqm. The aim is to make available to the public the following facilities: Mega Image supermarket, pharmacy, restaurant, pub, bakery and premium services: dry cleaning, hairdresser, beauty salon, playground, currency exchange, bank, travel agency. The total investment of the company amounts to 12 million Euros and does not pursue a direct commercial return, but increasing the life quality of the residents.

The biggest attraction will be the fitness area and SPA, which will include: fitness room, an indoor and an outdoor pool, with terrace and sunbathing area, children's pool, semi-Olympic pool, whirlpool, massage room , squash courts, bar, spinning room and tennis court with lawn. Another important point within the community center is the most modern STB terminal, from where buses will leave, the route of which will connect the Greenfield neighborhood with the Press Square and the central area of the capital. Currently, the STB 204 line already works, connecting the neighborhood with the Străulești terminal. The land necessary for the STB terminal in Greenfield, with an area of 1,400 sq m, is made available by Impact, with a loan agreement for an indefinite period and free of charge, to STB (Bucharest Transport Company). The value of the donation and of the entire project carried out by Impact amounts to 750,000 Euros.

Newly developed constructions will use modern design and construction solutions, which allow cost efficiency and high energy performance.

Impact Developer & Contractor: 60% of apartments contracted from the existing stock in the first half of 2020

IMPACT Developer & Contractor S.A. (IMP) ended the first half of 2020 with 133 homes sold and 260 pre-contracted homes, totaling 212 million lei. Of the stock of 487 apartments available in S1, 255 in Greenfield and 232 in Luxuria (March 2020), 60% were contracted. To these are added 102 pre-contracted apartments in the new development phases.

The first semester of 2020 focused on the construction of buildings and the preparation of documentation for future constructions in the representative neighborhoods developed by the company in Bucharest: Greenfield Băneasa and Luxuria Residence, respectively Constanța - Boreal Plus.

In H1 2020, 133 sale-purchase contracts were registered, which brought revenues of 65.808 million lei, to which are added 260 pre-contracts of sale, purchase and reservations totaling 146.28 million lei. The 133 contracts mean 88 units sold in Greenfield (7,650 sqm) and 45 in Luxuria (3,347 sqm), including apartments, parking lots and yard lands related to the package. The apartments sold in the first semester of 2020 totaled a built area of ​​10,998 sqm.

For the second semester, Impact envisages: for Luxuria, the completion of the second phase (268 apartments) and the continuation of the works in the third phase (130 apartments); obtaining construction permits, starting works and financing the fourth phase of Greenfield and the first phase of development in Boreal Plus Constanța.

The fourth development phase of Greenfield Residence includes the Teilor Ensemble (1,900 apartments) and brings a premiere for IMPACT: the first commercial project with a recreation center - Greenfield Plaza, offering a mix that will complete the range of facilities offered within the community.

Greenfield Plaza includes a Strip Mall, SPA area, gym, office area. The new Greenfield phases will be designed to include Smart City facilities and buildings that respect the design principles of green buildings, minimize energy consumption and use energy from renewable sources, leading to a reduction in carbon footprint.

In April 2020, following the EGMS decision of April 28, 2020, it was approved to reduce the company's share capital from LEI 274,443,532, with the amount of LEI 9,443,532, by reducing the number of shares, from 274,443,532 shares to 265,000,000 shares, as a result of the cancellation of a number of 9,443,532 treasury shares, acquired by the Company. Impact Developer & Contractor started paying dividends amounting to 10.7 million lei

Impact Developer & Contractor, the only Romanian real estate company listed on the Stock Exchange, pays dividends to shareholders, starting with the 17th of August, 2020. Payment is made automatically for investors registered in the RoClear System or upon request, by bank transfer based on a previous request, or in cash, at the BRD Group Societe Generale counters.

The shareholders of Impact Developer & Contractor approved in the General Meeting of April 28 of this year the distribution of dividends amounting to 10.7 million lei from the profit of 154.14 million lei obtained during 2019. Thus, a gross dividend is quoted at 0.04 lei per share, which ensures investors a return of 2.73%.

The shareholders who can benefit from dividends are those who are registered in the issuer's shareholders' register, on 27.07.2020. Shareholders who are customers of a Participant in the clearing-settlement and registry system of the Central Depository may collect their dividends through it.

In the case of shareholders who do not have an account opened with a participant of the RoClear system, the payment is made as follows:

• by bank transfer, based on requests sent by shareholders;

Impact Developer & Contractor received the approval to donate land for school and kindergarten in Greenfield

The residents of District 1 Bucharest will benefit from new educational institutions near Băneasa Forest, an area with clean air, extremely necessary for children. A state school and kindergarten will be built in Greenfield, the forested neighborhood, after the General Council of Bucharest accepted the proposal to donate a 9620 sqm plot of land, submitted by Impact Developer & Contractor. The value of the donation, which also includes the project for the construction of the school and kindergarten, amounts to 1.75 million euros, according to the evaluation report.

In the meeting that took place on Wednesday, July 15, 2020, the General Council of Bucharest adopted a project aimed at responding positively to the offer of donation of land located in Bucharest, Aleea Teișani District 1, for the construction of a school and a public kindergarten in the Greenfield neighborhood. According to the information contained in the document, the construction works, which are the responsibility of the Council, have a starting date of 31 December 2020.

„The offer of donation with tasks authenticated under no. 456/2020 of SC Impact Developer & Constructor SA having as object the land located in Aleea Teişani no. 300-324, no. 394-410, Mogoşoaia Forest Road no. 15-31, no. 33-41, plots A 468/37, 38, 39, 40/1, 40/2, 40/3, 40/4, 40/5 and 40/6, sector 1 (currently Aleea Teişani no. 312-324, sector 1) with an area of ​​9,620 sqm. (...) After concluding the donation deed in authentic form, the building-land (...) passes into the administration of the Local Council of Sector 1 in order to include in the public domain of the Municipality of Bucharest and the construction of a school and a kindergarten, together with all the necessary annexes and utilities ”, is mentioned in the adopted draft decision.

The project responds to the need for schools and kindergartens in District 1, an area in continuous development on the residential segment, with a continuous increase in the number of preschoolers and students. The two educational centers are an integral part of the largest community center built in a residential complex in Bucharest, developed on 32,071 sqm, which will include: strip mall, kindergarten and state school, STB terminal, minibus station.

The school and kindergarten will have direct access to a public road and will be modern educational spaces, where approximately 1,000 children from the northern part of Bucharest will be able to learn, as follows:

- the kindergarten will be able to receive 150 children in 15 classrooms, a multifunctional room, a medical office + isolator, a food office, administrative spaces, technical spaces and a covered playground;

- in school they will be able to learn two series of 390 children in 13 classrooms, 5 laboratories (chemistry, biology, physics, computer science, foreign languages), two workshops (music and arts), 1 after-school room, 1 library , a gym + locker rooms, a multifunctional foyer, a speech therapy office, a pedagogical counseling office, a medical office + isolator, a buffet space + food office, a school shop, a covered inner courtyard, an outdoor sports field free, a partially covered recreation yard, a maintenance workshop, bicycle parking platforms, various technical and administrative spaces.

The biggest real estate developer listed on Bucharest Stock Exchange gets involved in education

IMPACT DEVELOPER & CONTRACTOR submitted to the MUNICIPALITY OF BUCHAREST the donation offer of 9,620 sqm for the construction of a school and a public kindergarten. It is about a land located in the north of Bucharest. Currently, in that area of District 1 live approximately 1,500 children of school and preschool age, the nearest educational unit being over 4 km away. This situation generates traffic congestion, pollution and a low level of safety for students who have to travel long distances to school.

The approach of IMPACT Developer & Contractor represents a step towards normalcy and an invitation for all major real estate developers in the country to evolve by investing in education. This year, the company has allocated over 1 million euros (excluding VAT) for the expansion of public utilities that will serve both the school and kindergarten, as well as other areas in the vicinity of the Greenfield neighborhood. IMPACT Developer & Contractor plans to build additional access roads nearby. Today, they are in the final phase of approving the PUZ documentation, and once completed, they will be transferred free of charge to the public domain.

According to the approved urban plan, near the school and kindergarten will be built on 2 lands provided free of charge to the municipality, an STB terminal, various other public functions and an ISU subunit to serve the entire northern part of the capital. For the execution of these functions and infrastructure elements, IMPACT Developer & Contractor has allocated a budget of over 3 million euros (excluding VAT).

Located in the area delimited by Băneasa Forest, Tunari Forest and Teișani Alley, Greenfield is the flagship project of Impact Developer & Contractor, and the plans of the district development company include buildings with low CO2 footprint, green spaces much larger than legal regulations, as well as smart city and wellness solutions. In this regard, Impact Developer & Contractor will subsidize the construction of a community center in the neighborhood with commercial, service and sports functions. Thus, at the same time as satisfying a real need of the inhabitants of the complex, the traffic generated by the residents to the city will be significantly reduced. The entire development strategy of the Greenfield neighborhood is designed to be part of a set of public functions of general interest, for the benefit of the entire northern area of ​​Bucharest. At the end of April, by notarial deed, at the request of the City Hall of District 1 of Bucharest and the General City Hall of Bucharest, Impact Developer & Contractor submitted to the General City Hall of Bucharest and the General Council of Bucharest the donation offer for the urban land of 9,620 sqm, located in Bucharest, Teișani  Alley, District 1, adjacent to the Greenfield neighborhood. That land is registered in the Land Book no. 277156 of Bucharest, District 1. According to the zonal urban plan ZUP- Teișani Alley - Pădurea Neagră Street, no. 56-64, the land area that is the object of the donation has the function of UTR Education.

The Local Council of District 1 voted in favor of the request to CGMB, on 28.05.2020, for the reception in administration for the construction of a school and a public kindergarten on this land, together with all the necessary annexes and utilities, according to the draft annexed to the donation act and all technical documentation for the building permit, also donated free of charge. In this sense, there is already an agreement of principle acceptance from the Administration of Pre-University Education Units and Public Sanitary Units Sector 1. The start of works also has a precise deadline, no later than 31.12.2020.

Together with the project for the construction of the school and kindergarten, the value of the donation amounts to approximately 1.75 million euro, according to the evaluation report.

Impact Developer & Contractor sold 94% of Greenfield and 62% of Luxuria Phase 1 project

IMPACT Developer & Contractor S.A. (IMP) ended the first quarter of 2020 with 94% contracting for Greenfield project and 62% contracted from the first phase of Luxuria project, with sales revenues of 4.8 million euros, EBITDA of 980 thousand euros and an optimistic outlook for the next two quarters, when expected 25 million Euro of sales revenue. The estimates are based on the delivery of the apartments from phase 1 of Luxuria, located in the new business pole of Bucharest, which includes a necessary mix of residential and office.

Impact activity in the first 3 months of 2020 was dominated by the development of two residential projects in Bucharest: Greenfield Residence Băneasa and Luxuria Domenii Residence. As of March 31, 2020, 2,394 apartments were contracted (94%), namely 2,338 sale and purchase contracts and 56 promises and reservations, out of the 2,548 apartments already built, related to the Greenfield project. The reported sales figures reinforce Greenfield's high level of interest in the market and confirm the viability of Impact projects.

Luxuria Domenii Residence ensemble completed the first phase and started the delivery of the apartments. As of March 31, 2020, the first phase is contracted in proportion of 62%, which constitutes sale-purchase promises, starting with the signing of sale-purchase contracts from May 15, 2020. At this moment, 31% of the second phase is reserved (83 apartments out of the 268 available), and the third phase (130 apartments) was recently launched for sale. The positioning in the northern part of the capital, the high degree of construction quality and the facilities offered are relevant strengths in the current context, in which the comfort and safety of housing become a priority.

In addition to the 50 sale-purchase contracts, the value of which is reflected in revenue recorded in the first quarter of 2020, on 31 March 2020 pre-sale and purchase contracts and reservations were signed for 286 apartments in Greenfield and Luxuria, with a value of of 32.8 thousand Euro.

Luxuria Domenii Residence completes phase one of development, being the first ensemble to deliver premium housing in Exhibition area, in 2020

Bucharest, 06.05.2020: Bergamot Developments S.R.L., a company owned by Impact Developer & Contractor, announces the completion of the first phase of Luxuria Domenii Residence project, which will take place in the second half of May. Results in 2019: 156.6 million lei from sale contracts and 161 million lei from pre-sale contracts

Bucharest, 02.03.2020: IMPACT Developer & Contractor SA (IMP) ended 2019 with 352 homes sold, worth 156.6 million lei and 263 pre-contracted units, worth 146 million lei. The sales result has increasing by 54% compared to the figures of the previous year. The pre-sale-purchase contracts in the two projects in the capital, Greenfield Băneasa and Luxuria Domenii Residence, will take place during the year 2020.

The company recorded an operating profit (EBITDA) of 52 million lei and a net profit of 165 million lei. The net profit for the year 2019 also reflects the impact of accounting appreciation of the significant portfolio of land held by the company.

In 2019, Impact continued the construction work on the existing projects, Greenfield Baneasa and Luxuria Domenii Residence in Bucharest. These were materialized by the completion of the third development phase in Greenfield, with the delivery of the last 192 apartments. In parallel, it was obtained the urbanism act for a new project, Boreal Plus from Constanța, located in the immediate vicinity of the Boreal project, built by the developer 10 years ago.

The results consolidated after 9 months period confirm the sustained growth of sales and profitability

• 210 sold apartments, worth over 100 million lei (+ 63%);

• 334 pre-sale contracts and bookings worth more than 163 million lei (+ 80%) to be converted into sale-purchase contracts in the next period;

 

Bucharest, November 14, 2019: IMPACT Developer & Contractor SA (IMP) sold in the first 9 months of the year 210 homes and outbuildings (parking lots, courtyards) worth 100,550 thousand lei, up 63% compared to the same period in 2018. In addition to the 210 sale-purchase contracts, on September 30, 2019, pre-sale and booking contracts were signed for 334 apartments with a value of approx. 163.5 million lei in Greenfield and Luxuria projects. Their value will be highlighted as revenue in the following quarters. The operating profit obtained (EBITDA) registered an increase of 189% compared to the equivalent period of 2018, representing the best result after 9 months registered by the company, in the last 10 years.


“The results recorded in the first 9 months confirm, once again, the success of the existing projects, Greenfield and Luxuria. We continue to rely on a strong interest, both from real estate investors and final consumers, so we are confident that we will support this growth in the fourth quarter. We are expecting the completion of the authorization process for the next development phases shortly from Greenfield and the Boreal Plus project from Constanța, which marks the beginning of a new phase of expansion of the company by developing more than 5,000 homes and 6,000 square meters of commercial spaces, together with essential facilities for the communities created, such as recreation and relaxation units, public education or public transport facilities ”, said Răzvan Ionescu, Marketing Director of Impact Developer & Contractor.

 

The homes traded during the mentioned period totaled a built area of ​​19,172 sqm, 45% higher than the units sold during the first 9 months of 2018 (13,201 sqm), the mix being mainly composed of apartments with 3 and 4 rooms. Most of the homes (209) were sold in Greenfield Baneasa, the largest residential complex in District 1 of the capital.

 

Luxuria Domenii Residence: During this period we have continued the works for the construction of the first two phases of the project, which have the deadline for receiving the construction works for the fourth quarter of 2019, respectively the third quarter of 2020. On September 30, 2019, the first two phases are contracted. 44% (60% first phase and 30% second phase). Luxuria Domenii Residence addresses the premium segment of the residential market. The project was started in 2018, is developed in three phases, on an area of ​​approx. 2.25 ha and includes 630 apartments, with delivery until the second half of 2021.

 

Greenfield Baneasa Residence: In the third quarter there were completed the construction work for the last 192 apartments with 2, 3 and 4 rooms, related to phase III of development. As of September 30, 2019, over 90% of the 2,548 apartments built in the first 3 development phases of the district were contracted. Also, the steps for obtaining the PUZ for Greenfield IV (approx. 1,900 apartments) and Greenfield V (over 2,400 apartments) were continued. Greenfield IV will include the Greenfield Plaza community center which will involve a Strip Mall, office area, SPA area, gym, school and kindergarten, STB terminal. These new phases will be designed to include Smart City facilities and buildings that can be categorized as green buildings, minimizing energy consumption and using energy from renewable sources, leading to a reduction in the carbon footprint.

IMPACT Developer & Contractor SA: incomes of over RON 123 million at Q3 2016 and an increase of 273% in the net profit

At the end of Q3, IMPACT Developer & Contractor SA (IMP) has registered income of RON 123 million, of which RON 112, 1 mil (EUR 23,6 million) from selling of apartments, the best result of the company in its history, an increase of 42% compared to the same period of last year. Based on these results, the net profit has increased to RON 27,9 million, an increase by 273% compared to last year’s result when the company had a net profit of RON 7,5 million.                      

The GREENFIELD residential project has generated most of the sales. There have been 429 signed contracts and pre-contracts during January-September. In terms of customers’ preferences, the 2 rooms apartments ranked first (50%), followed by 3 rooms apartments (36%), and finally by 4 rooms apartments (14%).

"The outstanding financial results achieved in the first nine months have arrived even at a time when the market was slightly retained not only because of the introduction of the Law on Debt Discharge, but also because of the end of the funding granted for First Home program thus reconfirming the quality of the GREENFIELD project that becomes a bestseller on the residential districts’ market. Our priorities in the near future will be directed both towards completing the construction works for the 39 new buildings in Greenfield and towards starting the development of two new projects in the Bucharest Ghencea and Barbu Vacarescu areas, where the company owns almost 30 hectares of land plots intended to be used for future residential development. In addition, we are constantly following trends and market developments in order to be able to  provide attractive residential products thus ensuring IMPACT recognition as the leader of the local residential market", says Bartosz Puzdrowski, CEO of IMPACT.

IMPACT currently holds approximately 890.000 sqm mainly intended for the development of new real estate projects in Bucharest, where the company intends to focus on its future projects. The land plots registered in property investments in addition to the fixed assets have been reassessed at the market value in December 2015.

The company's liabilities have decreased by 24% at Q3 from RON 106,83 million to RON 80,8 million. Overall, the company's indebtedness level to September is around 17%, which shows an increased capacity to generate new projects.

Impact appoints Bartosz Puzdrowski as new CEO

Starting with the 1st of September, the CEO position at Impact Developer & Contractor, the first private real estate developer in Romania, will be filled by Bartosz Puzdrowski for the next 3 years. The Polish executive has been assigned by the company’s Board of Directors, after a rigorous candidate selection.

An experienced real estate manager with over 20 years in the profession, Bartosz Puzdrowski has previously held executive and senior management positions in leading companies on the residential, office and retail real estate market. He was, among others, Board Member at ICON Real Estate in Poland and Finland (responsible for office and residential development and refurbishment projects in Warsaw and Helsinki), the Managing Director for the Real Estate Development Segment in Marvipol Group (a leading residential developer in Poland, listed on the Warsaw Stock Exchange), CEO at Polnord SA (a leading residential developer in Poland, listed on the Warsaw Stock Exchange).

He has also been the Country Manager for Poland and the Baltics at Avestus Real Estate (a leading commercial real estate developer in CEE region), as well as the Director of the Development Department at ECE Projektmanagement Polska (a leading developer and investor of shopping centers in Europe) and Regional Development Manager at McDonald’s Polska. He graduated from the University of Warsaw, faculties of Philosophy & Sociology and a Master's program in Management, as well as from Warsaw - Illinois Executive MBA, where he majored in Business Administration and Commerce.

Impact is investing over 44 million euros in expanding GREENFIELD neighborhood located in north of the capital

Bucharest, 18 august 2016: IMPACT Developer & Contractor, the first private real estate developer in Romania, is launching Platanilor Ensemble, the third development phase of the GREENFIELD residential complex located in Baneasa. For this stage, the developer is investing over 44 million euros in terms of blocks, infrastructure and other related utilities, and it will be completed during the first trimester of 2017. The apartments can be booked starting with August 2016.

Platanilor Ensemble is developed on a land area of 10 hectares and it includes 39 blocks built in a height regime of P+4E and P+5E, totaling 888 apartments with 2, 3 and 4 bedrooms. The first 21 blocks (476 apartments) will be delivered at the beginning of 2017 and the next 18 blocks (412 apartments) will be completed in the third trimester of the next year.

Over 300 apartments contracted in the first 6 months

Over 300 apartments contracted in the first 6 months, the best result from 2008 until now

 

Bucharest, July 11th, 2016: In the first semester of this year, Impact Developer & Contractor, the first private real estate developer in Romania has concluded over 300 contracts and selling pre-contracts for the apartments in GREENFIELD, the residential compound situated in Baneasa, summing a total amount of € 23,85 million (VAT included). This is the best result recorded by the company from 2008 until now, after 6 months of activity. On average, there were over 50 apartments contracted monthly, with a sales record registered in March consisting of 72 apartments sold. The most wanted were the 2 room apartments which are currently SOLD OUT (175 units), followed by the 3 room apartments (103 units). Around 28% of the apartments were sold through the state-backed “First Home” program for first home buyers.

 

The apartments are located in Salcamilor residential compound, the second phase of the GREENFIELD project, developed throughout 2014-2016, which covers an area of 7 ha and includes 35 blocks with 924 apartments. GREENFIELD thus reaches an 85% occupancy rate, counting almost 3,000 residents at this moment.

“This semester, Impact, as a developer, has exceeded their excellent results obtained before 2008. GREENFIELD mainly contributed to this and is a unique project on the Romanian real estate market due to the fact that it is located in District 1 yet in the middle of nature.
